These Terms of Service (the “Terms”) govern your access to and use of the website operated by Tricon Global LLC (“Tricon Global,” “Tricon,” “we,” “us,” or “our”), including triconglobal.org and any related webpages, forms, communications, and services that link to these Terms (collectively, the “Services”).
By accessing or using the Services, submitting information to us, or otherwise communicating with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. If you use the Services on behalf of a business or other organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to both you and the organization.
2. Our Services
Tricon Global provides information about and assistance with business financing products and related commercial financial services, which may include working capital, merchant cash advances, lines of credit, term loans, receivables-based financing, debt restructuring, and other business-purpose financing solutions.
Depending on the product and circumstances, Tricon Global may provide services directly, act as an intermediary, or introduce applicants to third-party lenders, funders, banks, brokers, processors, or other financial-service providers. Product availability, provider participation, eligibility standards, rates, fees, repayment terms, and other conditions may change at any time and vary by applicant and jurisdiction.
The Services are intended solely for business and commercial purposes. They are not intended to provide consumer credit, personal loans, legal advice, tax advice, accounting advice, investment advice, or financial-planning advice.
3. No Financing Guarantee or Commitment
Information on our website or in our communications is provided for general informational and marketing purposes. It does not constitute an approval, commitment to fund, offer of credit, or guarantee of any product, rate, amount, term, payment schedule, or funding date.
Examples, estimates, advertised terms, and references to potential funding are illustrative only unless confirmed in a final written agreement signed by all required parties. All financing is subject to underwriting, verification, eligibility requirements, provider approval, final documentation, and any other applicable conditions.
You are responsible for reviewing and understanding all final agreements before signing. The terms of an executed financing agreement will control if they conflict with information on the website or in earlier communications.
4. Information You Provide
You agree to provide information that is accurate, current, complete, and not misleading. This may include business, ownership, contact, banking, financial, credit, tax, and transaction information, as well as supporting documents.
You authorize Tricon Global and its service providers and financing partners, as permitted by law and any separate authorization you provide, to:
● Verify the information and documents you submit;
● Contact references, banks, financial institutions, creditors, and other relevant parties;
● Obtain business and personal credit reports or other background information when authorized;
● Evaluate your business and potential eligibility for financing;
● Share application information with prospective financing providers and service providers involved in reviewing or processing your request; and
● Contact you regarding your inquiry, application, required documents, available products, and related services.
Submitting information does not obligate Tricon Global or any third party to approve or fund a transaction, and it does not obligate you to accept an offer.
5. User Obligations and Prohibited Conduct
You agree to use the Services only for lawful business purposes. You must not:
● Provide false, fraudulent, stolen, altered, or misleading information or documents;
● Impersonate another person or business or misrepresent your authority;
● Use the Services to violate any law, regulation, contract, or third-party right;
● Attempt to gain unauthorized access to the website, systems, accounts, or data;
● Introduce viruses, malicious code, automated scraping tools, or other harmful technology;
● Interfere with the operation, security, availability, or performance of the Services;
● Copy, reproduce, sell, sublicense, or commercially exploit website content without written permission; or
● Use our name, trademarks, or content in a way that falsely suggests sponsorship, endorsement, or affiliation.
You are responsible for maintaining the confidentiality and security of information and credentials associated with your use of the Services and for promptly notifying us of suspected unauthorized activity.
6. Electronic Communications and Signatures
You consent to receive records, notices, disclosures, and other communications from us electronically, including by email, telephone, and text message, subject to applicable law and the choices described below. Electronic communications satisfy any legal requirement that a communication be in writing to the extent permitted by law.
Electronic signatures and records may be used in connection with applications and transactions. You agree that an electronic signature has the same force and effect as a handwritten signature when permitted by law.
7. SMS and Text-Message Terms
If you provide a mobile telephone number and consent to receive text messages, Tricon Global may send you conversational, informational, transactional, and, where separately authorized, marketing text messages. Messages may relate to an inquiry or application, requested or outstanding documents, application status, financing options, account follow-up, appointment scheduling, or other Tricon Global services.
● Consent: Consent to receive marketing text messages is not a condition of purchasing or obtaining any product or service.
● Frequency: Message frequency varies based on your interactions with us.
● Charges: Message and data rates may apply. Contact your wireless carrier for information about your plan.
● Opting out: You may opt out at any time by replying STOP to a Tricon Global text. You may also communicate a request to stop messages through any other reasonable method, including contacting us directly. We may send one non-promotional message confirming your opt-out request.
● Help: Reply HELP for assistance or contact us using the information in Section 20.
● Carrier disclaimer: Wireless carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by your carrier and is not guaranteed.
● Number changes: You agree to notify us if you stop using or transfer a mobile number you previously provided.
After an opt-out, we may still contact you through non-SMS channels when permitted by law. An SMS opt-out does not prevent communications required to administer an existing transaction or respond to a request you initiate, unless applicable law requires otherwise.
8. Third-Party Providers and Links
The Services may contain links to, integrate with, or rely on third-party websites, platforms, service providers, lenders, funders, banks, credit bureaus, verification providers, document processors, and other parties. Tricon Global does not control and is not responsible for third-party services, content, security, availability, policies, representations, or performance.
Your dealings with a third party may be governed by separate agreements and privacy practices. You should review those terms before providing information or entering into a transaction. A link, referral, or introduction does not necessarily constitute an endorsement or guarantee.
9. Privacy
Our collection, use, disclosure, and protection of personal information are also governed by our Privacy Policy, which should be made available on our website and is incorporated into these Terms by reference. If there is a conflict between these Terms and the Privacy Policy concerning personal-information practices, the Privacy Policy controls.
Do not submit sensitive information through an unsecured channel unless we specifically instruct you to do so using an approved method.
10. Intellectual Property
The Services and their content—including text, graphics, logos, designs, software, and other materials—are owned by or licensed to Tricon Global and are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to access and use the Services for your internal business purposes.
No ownership rights are transferred to you. All rights not expressly granted are reserved.
11. Service Availability and Modifications
We may change, suspend, restrict, or discontinue any portion of the Services at any time. We do not guarantee that the Services will be uninterrupted, timely, secure, error-free, or available in every location or on every device.
We may correct errors, update content, change product descriptions, or withdraw information without notice. We are not responsible for losses arising from downtime, transmission errors, technical failures, maintenance, cyber incidents, or circumstances outside our reasonable control.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TRICON GLOBAL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
TRICON GLOBAL DOES NOT WARRANT THAT USE OF THE SERVICES WILL RESULT IN APPROVAL, FUNDING, SAVINGS, IMPROVED CREDIT, DEBT REDUCTION, OR ANY PARTICULAR BUSINESS OR FINANCIAL OUTCOME. NO ORAL OR WRITTEN INFORMATION PROVIDED THROUGH THE SERVICES CREATES A WARRANTY UNLESS EXPRESSLY INCLUDED IN A BINDING WRITTEN AGREEMENT.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRICON GLOBAL AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND FINANCING PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL; BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE SERVICES ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRICON GLOBAL’S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO TRICON GLOBAL FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
14. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Tricon Global and its owners, officers, employees, agents, affiliates, licensors, and service providers from claims, damages, liabilities, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:
● Your use or misuse of the Services;
● Information or documents you provide;
● Your breach of these Terms;
● Your violation of law or a third party’s rights; or
● Any transaction or activity undertaken through your account or authority.
15. Suspension and Termination
We may restrict, suspend, or terminate your access to the Services if we reasonably believe you violated these Terms, created legal or security risk, engaged in fraud or misuse, or if suspension is necessary to protect Tricon Global, a third party, or the Services.
You may stop using the Services at any time. Provisions that by their nature should survive termination—including intellectual-property, disclaimer, liability, indemnification, dispute-resolution, and miscellaneous provisions—will survive.
16. Governing Law
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of New York, without regard to conflict-of-law principles, except to the extent federal law applies.
17. Dispute Resolution and Informal Resolution
Before filing a lawsuit, you and Tricon Global agree to make a good-faith effort to resolve the dispute informally. The complaining party must send written notice describing the dispute, the relevant facts, supporting documents, and the requested resolution. The parties will have 30 days after receipt of the notice to attempt to resolve the matter.
If the dispute is not resolved informally, each party agrees that any legal action arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New York, New York, and each party consents to personal jurisdiction and venue in those courts. Either party may seek temporary or emergency injunctive relief in a court of competent jurisdiction to protect confidential information, intellectual property, data, systems, or security.
TO THE EXTENT PERMITTED BY LAW, YOU AND TRICON GLOBAL WAIVE ANY RIGHT TO A TRIAL BY JURY FOR A DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the revised Terms and update the “Last Updated” date. Changes become effective when posted unless a later date is stated. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the changes.
19. Miscellaneous
These Terms, together with any incorporated policies and any separate written agreement applicable to a particular service or transaction, constitute the entire agreement concerning your use of the Services. A separate executed financing or service agreement controls with respect to its subject matter if it conflicts with these Terms.
If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or similar transaction.
